ARTICLE 01

Parties & Acceptance

These Terms of Service (the “Terms”) form a binding agreement between you — the business entity or individual subscribing to DFTR (“Customer”, “you”) — and DFTR, operating via dftr.dev from New Cairo, Cairo, Egypt (“DFTR”, “we”). By creating an account, signing an order form, or using the platform, you accept these Terms in full.

If you accept these Terms on behalf of a company, commercial establishment, or other legal entity, you confirm that you are authorized to bind that entity. These Terms are published in English and Arabic; both versions are equally authentic, but the Arabic version prevails in case of any conflict or ambiguity.

ARTICLE 02

Definitions

Capitalized terms used across these Terms and any order form have the meanings set out below. Headings are for convenience only and do not affect interpretation.

  • “Platform” means the DFTR cloud ERP service, including accounting, inventory, POS, HR, CRM, and manufacturing modules, plus mobile and web applications.
  • “Customer Data” means all business data you submit to the Platform, including ledgers, invoices, inventory records, employee records, and ETA documents.
  • “ETA” means the Egyptian Tax Authority, including its e-invoicing and e-receipt systems and any successor portal or mandate.
  • “Subscription” means your paid plan granting a defined number of users, branches, and transactions for a billing period.
  • “Order Form” means the checkout record, signed quotation, or subscription confirmation specifying your plan, term, and fees in EGP.

ARTICLE 03

The Services

DFTR provides a cloud enterprise resource planning platform purpose-built for Egyptian SMBs: financial accounting, multi-branch inventory, point of sale, HR and payroll aligned with Egyptian Labor Law, sales and CRM, and manufacturing. We host, maintain, and update the Platform, and provide onboarding and support from our Cairo team.

Where your plan includes ETA connectivity, DFTR acts as a technical facilitator that formats, signs (using your own e-signature credentials), and transmits your documents to ETA portals. DFTR is not your tax agent, accountant, or legal representative, and ETA acceptance of any document remains subject to ETA systems and rules.

ARTICLE 04

Eligibility & Accounts

You must be at least 18 years old and legally capable of entering contracts under the Egyptian Civil Code to use DFTR. Business accounts must be registered with accurate commercial details, including your commercial register and tax card numbers where applicable.

You are responsible for all activity under your users’ credentials. Keep passwords and e-signature tokens confidential, enable the access controls we provide, and notify us immediately at support@dftr.dev if you suspect unauthorized access. We may suspend credentials we reasonably believe are compromised.

  • Provide truthful registration and billing information and keep it current.
  • Limit each login to one named person; shared cashier PINs must still map to an accountable employee.
  • Deactivate former employees’ access on their last working day.

ARTICLE 05

Subscriptions, Trials & Billing

Subscription fees are billed in Egyptian Pounds (EGP), exclusive of 14% Egyptian VAT unless stated otherwise. Plans renew automatically for successive periods of the same length until you cancel from your billing settings or by written notice at least seven (7) days before renewal.

Free trials run for three (3) days, require no credit card, and grant the highest fixed plan for that period. When the three days end, the shop pauses. It stays paused until you contact support and a paid plan (Starter, Plus, or Custom) is assigned. There is no self-serve checkout.

Invoices are payable within fourteen (14) days by bank transfer, card, or any Egypt-supported method shown at checkout. Late amounts bear interest at the maximum rate permitted under Egyptian law. Refunds follow the Egyptian Consumer Protection Law (Law 181/2018): prepaid annual fees are refundable on a pro-rata basis within the first thirty (30) days if the Platform materially fails to perform as described.

ARTICLE 06

ETA & Fiscal Responsibilities

Tax compliance is a shared responsibility. You must maintain a valid Egyptian tax registration and commercial register, keep your ETA portal credentials and e-signature token active and lawful, and ensure every invoice, receipt, and document you issue through DFTR is truthful, complete, and issued in the ordinary course of your business.

DFTR transmits documents to ETA exactly as your data defines them; we do not verify the commercial truth of your transactions and we are not liable for ETA rejections, penalties, or audits arising from your data, your credentials, ETA downtime, or changes in ETA rules. We will, however, update our ETA connectors promptly when ETA publishes new specifications and notify affected customers.

  • You own the accuracy of items, prices, VAT treatment, and counterparty tax IDs.
  • E-signature tokens must be issued in your establishment’s name and never shared with DFTR staff.
  • Notify us before changing your tax entity, activity code, or invoicing serial ranges.

ARTICLE 07

Acceptable Use

DFTR must be used for lawful business operations only. You shall not use the Platform to issue fictitious invoices, falsify tax or accounting records, process unlawful payments, infringe intellectual property, or violate any Egyptian law, ETA mandate, or Central Bank of Egypt payments regulation.

You shall not attempt to breach the Platform’s security, probe or scan our infrastructure, reverse-engineer the service, resell access without a partner agreement, or overload the service beyond your plan’s fair-use limits. We may suspend offending accounts immediately where continued use risks legal exposure, ETA sanctions, or harm to other customers.

ARTICLE 08

Your Data & License to Us

You retain full ownership of all Customer Data. You grant DFTR a worldwide, non-exclusive license to host, process, back up, and transmit Customer Data solely to provide the Services, comply with ETA and legal obligations, and improve service reliability — never to sell your data or use it for third-party advertising.

You may export your data at any time in standard formats (CSV, XLSX, JSON, and ETA-compliant UBL/XML) from within the Platform. After termination, your workspace enters a thirty (30) day grace period during which you can export everything; afterwards we delete production data per our retention schedule, except records we must keep under Egyptian tax and commercial law.

How we handle personal data is described in our Privacy Policy, which forms part of these Terms.

ARTICLE 09

Intellectual Property

DFTR owns all rights in the Platform, including software, interfaces, the DFTR wordmark and ledger icon, documentation, and aggregated anonymized analytics. These Terms grant you a limited, revocable, non-transferable right to access the Platform for your internal business during your Subscription — no ownership is transferred.

You own your trademarks, product catalogs, and commercial content. Any feedback or feature suggestions you share may be used by DFTR without compensation or attribution. Neither party may use the other’s marks publicly without prior written consent, except that DFTR may list your company name and logo as a customer reference unless you opt out in writing.

ARTICLE 10

Confidentiality

Each party shall keep the other’s non-public information — including Customer Data, pricing, credentials, and product roadmaps — strictly confidential, using at least the same care it uses for its own secrets. Disclosure is permitted only to employees and processors who need access and are bound by equivalent duties, or where required by an Egyptian court, ETA, or competent authority (with prompt notice to the other party where lawful).

These duties survive termination for three (3) years, except for trade secrets and credentials, which remain protected indefinitely.

ARTICLE 11

Service Levels & Warranties

We warrant that the Platform will perform materially as described in our documentation, that we will apply commercially reasonable efforts to maintain 99.9% monthly availability of core cloud services (excluding ETA portals, public internet failures, and scheduled maintenance), and that support requests receive a first response within one (1) business day.

Except as expressly stated, the Services are provided “as is” to the maximum extent permitted by Egyptian law. We do not warrant uninterrupted ETA portal availability, specific business outcomes, or that the Platform meets every requirement of every Egyptian statute for every business model — your accountant and tax advisor remain responsible for final filings.

ARTICLE 12

Limitation of Liability

To the maximum extent permitted by Egyptian law, neither party is liable for indirect, incidental, special, or consequential damages — including lost profits, lost revenue, or lost business opportunities — even if advised of their possibility.

Each party’s total aggregate liability under these Terms is limited to the subscription fees you actually paid to DFTR in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnification duties, or liability arising from willful misconduct, fraud, or infringement of the other party’s intellectual property.

ARTICLE 13

Indemnification

You shall indemnify and hold DFTR harmless against third-party claims, damages, and reasonable legal costs arising from your Customer Data, your use of the Platform in breach of these Terms, your tax filings and ETA submissions, or your violation of law — including claims by ETA, your customers, or your employees.

We shall indemnify you against third-party claims that the Platform as provided infringes an Egyptian registered intellectual property right, provided you notify us promptly, allow us sole control of the defense, and do not admit liability. Our remedy may include procuring continued use rights, modifying the Platform, or terminating the affected service with a pro-rata refund.

ARTICLE 14

Term & Termination

These Terms take effect when you first use the Platform and continue while any Subscription or trial is active. Either party may terminate for convenience at the end of the current term with thirty (30) days’ written notice, or immediately for the other party’s uncured material breach (fifteen (15) days to cure after notice), insolvency, or cessation of business.

We may suspend or terminate immediately for non-payment exceeding thirty (30) days, acceptable-use violations, or legally compelled reasons. On termination you must pay all outstanding fees; prepaid fees are non-refundable except as stated in the billing section. The data-ownership, confidentiality, liability, indemnification, and governing-law sections survive termination.

ARTICLE 15

Governing Law & Disputes

These Terms are governed by the laws of the Arab Republic of Egypt, including the Civil Code and applicable commercial, tax, and consumer-protection statutes. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation within thirty (30) days of written notice.

Failing settlement, disputes shall be submitted to the exclusive jurisdiction of the Cairo Economic Courts, unless the parties agree in writing to arbitration under the Cairo Regional Centre for International Commercial Arbitration (CRCICA) rules, with Cairo as the seat and Arabic as the language of proceedings.

ARTICLE 16

Changes to These Terms

We may update these Terms to reflect new features, ETA mandates, or legal requirements. Material changes take effect thirty (30) days after we publish the update and notify account administrators by email or in-product notice; non-material clarifications take effect immediately on publication.

If you object to a material change, your exclusive remedy is to cancel before the effective date. Continued use after the effective date constitutes acceptance.

ARTICLE 17

Contact & Notices

Formal notices under these Terms must be sent to legal@dftr.dev (or the address published on dftr.dev) and are deemed received within two (2) business days. Day-to-day support is available at support@dftr.dev, by phone at +20 2 2123 4567 (Sunday–Thursday, 9am–6pm Cairo time), and via WhatsApp through the channels listed on our contact page.
